Terms and Conditions

Mezzanine Marketing is referred to as MM in this document,

Professional Commitment
MM promises to provide services to the client in a totally professional and competent manner. MM is committed to fulfilling all projects within agreed times. In order to achieve a consist level of service at agreed times, it will be necessary, at least in the early stages of projects to communicate and agree certain issues with the client.
Fees Summary
MM charge £60.00 per hour with a minimum charge for one full hour. Thereafter Clients will be charged by the half hour at a rate of £30.00 per every 30 minutes. This fee is subject to review at the beginning of each year. The client will be notified in advance of any fee changes.
Confidentiality
MM will not disclose, discuss or share any confidential marketing related information or client’s conversations with other companies or persons.
Preferred Payment Method
Our preferred method of payment is via Standing Order. This helps us to give a smoother service without interruption to the marketing of your business. Payments can also be made by cheque, payable to: MEZZANINE MARKETING.
Payment Terms
If paying by Cheque MM fees are requested within 10 working days of invoice date. If paying by Standing Order, payments should be made no later than the middle of the following month.

All MM invoices will be sent by email only as from February 2007.

Payment of Third Party - Online Marketing/Advertising Fees
Third Party (Online) Company fees (EG: Google, Yahoo Overture etc.) are exclusive of MM fees. All prices listed for the Third Party (Online) Companies (EG: Google, Yahoo Overture etc.) within ‘online marketing proposal’ documents are VAT chargeable.
Third Party Advertising Setup Fees (for Google, Yahoo Overture, Yell, Webfinder etc),
Full payment to be received in advance of commencement.
Third Party Advertising Fees & Budgets (EG: Google pay-per-click)
These will be setup by MM on behalf of the Client and with the client’s credit/debit card. It is the client’s responsibility to make and maintain these payments. MM will email the client the agreed maximum budget for online advertising.
Call-out Fees
Call out fees are £250.00 (in London and includes a two hour meeting). Thereafter, there is an hourly charge of £60.00.
Project Initiation Agreement
The client is requested to agree the initiation of a project in writing once MM’s project and fee proposal have been submitted to the client. A verbal agreement will be accepted for relatively short projects. For such projects MM will email a confirmation to the client. It is the client’s responsibility to maintain a copy of the email.
Google (or similar Account) Access and Ownership
MM will manage the client’s account(s) on their behalf. We strongly recommend that the client does not alter the accounts in any way as this could affect the applied marketing strategies by MM which are continually changing.
Client Access
When the client Google, Yahoo Overture or similar advertising campaigns have been activated and managed by MM, account access by the client is possible, however MM advices that the account should not be altered in any way without prior notice. The account should not be accessed by third parties or parties which may have a business interests in the running of the Google, Yahoo Overture or similar advertising campaigns.
Client Contract Period / Client Commitment
The online Marketing contract is based on a 3 Monthly commitment plan. All contracts are automatically renewed every 3 months.
Contract Pausing
Should the client wish to pause Pay-per-click accounts at any time, confirmation is required by email.
MM will pause the third party budgets (eg: for Google or Yahoo). MM’s monthly marketing fees will remain in place during these periods. Account maintenance and optimisation will continue during these paused periods.
Contract Discontinuation
should the client wish not to continue with the online Marketing Agreement, the client is requested to make payment until the end of that particular 3 monthly contract period. 1 month’s prior notice is required for the cancellation of a subsequent 3 Month’s contract.
Furthermore, in the event MM and Clients contract is severed, MM reserves the right to remove all content, including campaigns, adverts and keywords from the clients online marketing account. This is to protect the work being passed onto other potential account mangers, who may use and or compromise MM’s marketing strategies. In effect the clients Adwords account will be closed and the client will have to initiate the opening of a new account.
Deadlines
MM agrees to work expeditiously to achieve deadlines. In order to achieve agreed deadlines, the client must supply all requested information at the agreed times. MM reserves the right to re-assign deadlines if requested information is not received on time. MM requests that the client gives at least 2 weeks notice for new project instructions.
Liability
Google pay-per-click (or similar third party advertising) budgets will be emailed to the client as ‘agreed budget’, following a verbal discussion and agreement with the client. In order not to effect marketing campaigns performance MM may not wait for an ‘agreed’ response email from the client if a verbally has already been made. In such cases MM does not take responsibility for budget amounts. It is the responsibility of the client to keep a record of the agreed budgets which may change as per the client’s request.
After approval the customer shall have no claim against MM for errors that were initially approved by the client.MM is not liable for any legal issues arising from the third party authorisation issues of images and/or text (including: infringement of copyright, trademarks, patent or design) supplied by the client for any purpose whatever.
Online marketing proposals (including advertising) aim to accurately reflect the services of Client. All online advertising descriptions used, will be based on the client’s approval of such descriptions. In some cases the adverts may be live on the internet prior to approval. Once online advertising descriptions are implemented, MM takes no responsibility in any legal issues with text descriptions or images depicted on behalf of the client.
It is in MM’s interest to achieve a successful and fruitful online marketing campaign for the client.
However, the online marketing campaign will be a reflection of the quality of service offered by the client and it is the client’s responsibility to turn enquiries into actual bookings. MM shall not be required to produce any material which in his opinion is illegal or defamatory. Complaints and claims by the client will only be considered if received by the MM in writing within eight working days of delivery. MM does not take responsibility if due to the hosting company, the websites do not appear to the public.
MM Promotions
MM Design reserves the right to advertise or market itself using designs/artwork created for it’s clients (online or printed), without the prior consent of the client.
Associates / Sub-contracting (Design and Marketing)
MM reserves the right to assign preferred associates or subcontractors to projects where appropriate.
Email Spamming (Unsolicited junk email) Law
Emails and Email Newsletters sent to Patients/Persons on behalf of the client will be sent strictly based on the permission of the Patients/Persons. (IE: Only if they have provided the client or MM consent to receiving Emails). Any Patients/Persons Emails provided to MM by the client are understood to be legitimate emails of those persons who have either subscribed or wish to receive emails from the client.
By Law, any emails sent should include an option to unsubscribe. Therefore MM advises that Emails are NOT sent directly by the client. MM does not take responsibility for those emails sent by the client. MM will, strictly, not use the client’s email database for any other purpose or disclose the email database to other companies or persons.
Database, Application and E-Commerce Development
MM cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use.
The client is expected to test fully any application or programming relating to a site developed by MM before being made generally available for use. Where "bugs", errors or other issues are found after the site is live, MM will endeavour (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.
Compatibility
MM will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 6 and to an acceptable level with Mozilla browsers. MM can offer no guarantees of correct function with all browser software.
Website Hosting – Site Visibility
MM does not take responsibility if due to the hosting company, a website does not appear in a web browser.
Whilst MM recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service by MM cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
